Who we are
ReUpload is operated by Noah Johnston, a sole proprietor doing business as “ReUpload,” based in Wisconsin, United States (the “Operator,” “we,” “us,” or “our”). You can reach us at noahjj1350@gmail.com.
1. Agreement
By creating an account, uploading video links, or otherwise using ReUpload (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
2. What ReUpload does
ReUpload is an AI-assisted tool that takes a YouTube video URL you provide, downloads it, transcribes it, picks short clips via a language-model scorer, and renders branded short-form videos. Optionally it auto-publishes those clips to platforms you connect (TikTok, Instagram Reels, YouTube Shorts, etc.). You supply the inputs; we run the pipeline.
3. Account terms
You must be at least 13 years old to create an account. If you are between 13 and the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. You agree to provide accurate information, keep your credentials confidential, and not use automated tools (bots, scrapers, headless browsers) to abuse the Service, bypass rate limits, or scrape data. One person or legal entity per account; account sharing outside a paid team seat is prohibited.
4. License grant
Subject to your compliance with these Terms, Noah Johnston grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own personal or internal business purposes. All rights not expressly granted are reserved.
5. Your content and rights
You may only submit URLs for videos you own or have a clear right to repurpose. By submitting a URL you represent that your use does not infringe copyright, trademark, publicity rights, or any other third-party right. You retain all rights to the videos and clips — we take no ownership of your content.
You grant ReUpload a worldwide, royalty-free, non-exclusive license to host, store, transcode, transcribe, analyze, transmit, and otherwise process your content solely as needed to operate the Service for you (e.g. transcription, AI clip scoring, rendering, optional auto-publishing). This license terminates when you delete the content or your account, subject to short-term backup retention described in the Privacy Policy.
6. Acceptable use
Your use of the Service is also governed by our Acceptable Use Policy, which prohibits (among other things) uploading content you don't have rights to, CSAM, non-consensual intimate imagery, deepfakes of real people without consent, harassment, hate speech, scraping, and circumventing security controls. Violations may result in suspension or termination per the AUP's enforcement section.
6.1 Third-party platform terms
Parts of the Service use YouTube API Services (search, trending charts, and optional publishing). By using those features you agree to be bound by the YouTube Terms of Service. Google's handling of data is described in the Google Privacy Policy. You can revoke ReUpload's access to your Google account at any time via Google security settings.
Optional Snapchat features (account connection, sharing to Spotlight) use Snap Kit and are subject to the Snap Terms of Service and Snap Privacy Policy. You can disconnect Snapchat in Settings → Connections, or revoke access from Snapchat's Connected Apps settings.
7. Intellectual property
The Service — including the software, AI prompts and pipelines, scoring models, user interface, branding, and ReUpload trademarks — is owned by Noah Johnston and protected by U.S. and international intellectual-property laws. Nothing in these Terms transfers ownership of the Service to you. You own your content; we own the platform.
8. Subscriptions, auto-renewal, and billing
Paid plans are billed by Stripe on a recurring basis (monthly or annual, depending on the plan you choose). Auto-renewal disclosure: your subscription will automatically renew at the same plan price and interval until you cancel. You authorize us to charge your payment method on each renewal. We will send a renewal reminder by email before annual renewals.
Cancellations take effect at the end of the current billing period. You can cancel anytime from your account billing settings. All prices are in USD and exclude applicable taxes.
9. Refund policy
We offer a 30-day money-back guarantee on the first paid subscription period for a new account: if you request a refund within 30 days of your first paid charge by emailing noahjj1350@gmail.com, we will refund the charge in full. After the 30-day window, charges are non-refundable for partial months, but you can cancel anytime and retain access through the period you paid for. We reserve the right to deny refunds in cases of abuse (e.g. heavy usage followed by an immediate refund request).
10. Third-party platforms
When you connect TikTok, Instagram, YouTube, Facebook, or any other third-party service, you authorize us to act on your behalf using their APIs (e.g. publish clips, read analytics). Those platforms' terms govern what we can do. We are not responsible for third-party platform outages, policy changes, account suspensions, or losses caused by them.
11. DMCA
If you believe content on the Service infringes your copyright, follow the takedown procedure on our DMCA page. We respond to valid notices under 17 U.S.C. § 512(c)(3) and terminate accounts of repeat infringers.
12. Availability and warranty disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no promises about uptime, virality of generated clips, accuracy of AI output, or retention of stored data. We will make reasonable effort to keep the Service running and your data backed up, but we are not liable if processing fails, a clip does not perform, or platform APIs change.
13. Limitation of liability
To the fullest extent permitted by law, the aggregate liability of Noah Johnston (dba ReUpload) under these Terms is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD $100. We are not liable for indirect, consequential, incidental, special, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if advised of the possibility. Some jurisdictions do not allow these limits; in that case, the limits apply only to the extent permitted.
14. Indemnification
You agree to defend, indemnify, and hold harmless Noah Johnston (dba ReUpload) from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your content or your use of the Service; (b) your violation of these Terms or the Acceptable Use Policy; (c) your violation of any third-party right, including copyright, trademark, publicity, or privacy rights; or (d) your violation of any applicable law.
15. Account termination
You can delete your account anytime from your settings. We may suspend or terminate your account for material breach of these Terms, repeat infringement, fraud, or extended non-payment, with notice where reasonable. On termination, your stored clips and projects may be deleted within 30 days, subject to short-term backup retention described in the Privacy Policy.
16. Dispute resolution and arbitration
Please read this section carefully — it affects your legal rights.
Except for disputes that qualify for small-claims court in Wisconsin, you and Noah Johnston (dba ReUpload) agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration is enforceable under the Wisconsin Arbitration Act, Wis. Stat. § 788.01 et seq., and the Federal Arbitration Act. The arbitration will be conducted in Kenosha County, Wisconsin, or by videoconference at the arbitrator's discretion. Each party bears its own fees except as the rules provide.
Small-claims carve-out: Either party may bring an individual claim in small-claims court located in Kenosha County, Wisconsin if the claim qualifies.
Class-action waiver: All claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class, consolidated, or representative action.
17. Governing law and venue
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict-of-laws principles. Subject to the arbitration provision above, any dispute that is not arbitrated will be resolved exclusively in the state or federal courts located in Kenosha County, Wisconsin, and you consent to the personal jurisdiction of those courts.
18. Changes to these Terms
We may update these Terms. For material changes, we will provide at least 30 days' advance notice by email or an in-app banner before the changes take effect. Non-material changes may take effect immediately on posting. Continued use of the Service after the effective date constitutes acceptance.
19. Miscellaneous
These Terms are the entire agreement between you and Noah Johnston (dba ReUpload) regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to a successor entity (e.g. if ReUpload is later organized as a Wisconsin LLC).
